Summary

We’re looking for an experienced Interim Deputy Company Secretary to join our Corporate Governance team on a 10‑month fixed‑term contract from mid‑July to mid‑May, covering maternity leave. This is a high‑profile role supporting the governance of a FTSE 100 organisation with a complex UK and international group structure.

To stay close to customers, our support teams are in the office three days a week as we believe that skills are developed through collaboration, and that spending time together makes us more creative and connected.

What you’ll do

Your key accountabilities will include:

  • Lead the Company Secretariat function, ensuring M&S complies with all relevant UK listing, disclosure and governance requirements as a FTSE 100 company.
  • Deputise for the General Counsel & Company Secretary, supporting effective operation of the Board and Committees, including delivery of Board papers, governance advice and regulatory disclosures.
  • Own delivery of the Governance section of the Annual Report and AGM documentation, acting as a key contributor to the Annual Report & Accounts project.
  • Manage shareholder services and equity administration, working closely with Equiniti on dividends, share plans, shareholder communications and regulatory processes.
  • Lead, coach and develop a high‑performing Company Secretariat team, overseeing day‑to‑day delivery, governance projects and departmental budget management.

Who you are

Your skills and experience will include:

  • Fully qualified Chartered Company Secretary with 8+ years’ PQE gained in a UK listed plc environment.

  • Strong technical expertise across UK company law and governance, including the Companies Act 2006, UK Listing Rules, DTRs, MAR and the UK Corporate Governance Code.

  • Proven experience working confidently with Boards and senior executives, with excellent written and verbal communication skills and sound professional judgement.

  • Highly organised and detail‑driven, with strong planning and prioritisation skills, a proactive mindset, and the ability to handle sensitive and confidential matters with discretion.

  • Experienced people leader with strong systems capability, including Microsoft Word, Excel and PowerPoint, Board Intelligence (or equivalent), and Companies House e‑filings, RNS Submit and the National Storage Mechanism.
